The key functions of  Legal department

Objectives

To improve company’s processes, efficiency and performance by ensuring implementation of Mongolian Laws and Regulations and Internal Labor Regulations, promptly providing professional advice, recommendations, feedback and necessary information to the executives, and undertaking activities for ensuring Oyu Tolgoi project, and its implementing company’s objectives, mission and business plan’s compliance with the Laws and Regulations of Mongolia and in accordance with the contract;

Mission

To improve company’s efficiency and performance by developing a policy on the company's activities and implementation of the legislation, and reflecting it in the company's Business Plan, creating a work plan for the units and departments to ensure its implementation;

 To monitor the Oyu Tolgoi Investment Agreement, Amended and Restated Shareholders’ Agreement and other contract compliance;

Roles and Responsibilities

To draw conclusions and make recommendations for ensuring implementation of the Contract and compliance with the Laws and Regulations of Mongolia on relevant issues to the Board of Directors Meeting and Shareholders’ Meeting on behalf of interests of Mongolian shareholders of Oyu Tolgoi project;

To review legal basis of underlying draft documents and contract and ensure compliance with law;

To protect the company’s interest by representing the company to law enforcement organizations and to provide legal guidance and advice for the company’s executives and staff;

To prepare appropriate responses, examining information for letters of requests from other organizations and citizens related to  Legal Department;

To submit monthly, quarterly, semi-annual and annual work reports, to develop a work plan of  Legal Department in accordance with the Company's Business Plan, and managing activities to ensure its implementation 

 

The key functions of Administration and Human Resource Department

Objectives

To manage human resource related activities within legal framework, to enhance capacity building for productivity, to support the development of human resources, to improve employee efficiency, and to ensure the implementation of Mongolian laws and regulations, company’s internal policy as well as managing employment agreement implementation;

Mission

To manage human resource related activities within legal framework;

To enhance capacity building within the follow-up to the Human resource strategic objectives and plan

To support human resource development ;

To increase employee productivity;

Roles and Responsibilities

To request Board of Directors’ and Shareholders’ meeting agenda approval on behalf of interests of Mongolian shareholders’ of Oyu Tolgoi project;

To ensure the implementation of the Labor Law of Mongolia and company's internal labor regulations, confidentiality regulations, and record retention and archiving procedures ;

To prepare the CEO’s draft statement, draft decisions and to maintain company’s internal documentation;

To prepare appropriate responses, examining information for letters of requests from other organizations and citizens related to Administration and Human resource department;

To submit monthly, quarterly, semi-annual and annual work reports, to develop a work plan of Administration and Human resource department in accordance with the Company's Business Plan, and managing activities to ensure its implementation

 

The Key functions of Financial Analysis Department

Objectives

To improve company’s process, efficiency and performance by promptly providing professional advice, recommendations, analysis and necessary information to the executives, and undertaking activities for ensuring company’s objectives, mission and business plan’s compliance with finance, investment, procurement, auditing, taxation, planning, accounting, estimation and financial analysis;

Mission

To manage unit’s activities, developing analysis and recommendations, monitor investment, financing, auditing, taxation, accounting and procurement activities of the Oyu Tolgoi project on behalf of interests of Mongolian shareholders, and ensure work implementation;

To monitor the Oyu Tolgoi Investment Agreement, Amended and Restated Shareholders’ Agreement and other contract compliance

To study the feasibility study of the Oyu Tolgoi project and the Feasibility Study Amendment, monitor its implementation and develop relevant recommendations and feedback;

To draw conclusions and make recommendations for ensuring implementation of the Contract and compliance with the Laws and Regulations of Mongolia on relevant issues to the Board of Directors Meeting and Shareholders’ Meeting on behalf of interests of Mongolian shareholders of Oyu Tolgoi project;

Roles and responsibilities

To define further objectives by conducting an analysis of operational evaluation and work process of Finance and analysis department, and to discuss relevant issues to address in Directors’ meeting;

To draw conclusions, make recommendations and provide information on basis of coordinating key activities and other relevant issues to the Mongolia side, and exchanging information in “Audit and finance committee” meeting associated with assigned tasks under the framework of company’s main functions and internal policy;

To maintain confidentiality of Oyu Tolgoi project’s financial information, relevant documents, and the company's internal operations, and to follow the company’s confidentiality policy;

To prepare appropriate responses, examining information for letters of requests from other organizations related to the finance;

To prepare CEO statement, draft decisions and to maintain company’s internal documentation;

To prepare business letters, presentations, proposals and conclusions to be sent to external organizations according to the task assigned and direction of the CEO in a timely manner;

To submit monthly, quarterly, semi-annual and annual work reports, to develop a work plan of the Financial Analysis Department in accordance with the Company's Business Plan, and managing activities to ensure its implementation

 

The key functions of Geology and Mining Department

Objectives

To improve the company’s processes, efficiency and performance by ensuring the implementation of company’s objectives, mission, business plan, promptly providing professional advice, recommendations, feedback and necessary information on mining, infrastructure, and construction to the executives;

Mission

To manage unit’s activities, developing analysis and recommendations, monitor the process of open pit and underground development infrastructure, environment, regional development, occupational safety, concentrate sales, transportation, marketing, laboratory control and sampling of Oyu Tolgoi project on behalf of interests of Mongolian shareholders, and ensure work implementation;

To improve company’s efficiency and performance by developing policy and strategy on mining and infrastructure problems, and reflecting it in the company's Business Plan, creating a work plan for the units and departments to ensure its implementation;

To monitor the Oyu Tolgoi Investment Agreement, Amended and Restated Shareholders’ Agreement and other contract compliance;
